Savvy Sheets Boutique is a registered business name of Bella Palm Holdings Pty Ltd (ABN 34694098309)
These Terms of Service ("Terms") govern your access to and use of the website and services of Savvy Sheets Boutique (referred to as "we," "us," or "our"). By accessing or using our website (savvysheetsboutique.com) or purchasing our Google Sheets templates, you ("you" or "Customer") agree to be bound by these Terms. If you do not agree to these Terms, you may not access our website or purchase our templates.
1. License Grant and Restrictions
Subject to your payment of the applicable purchase price, we grant you a limited, non-exclusive, non-transferable, personal use only license to download and use the Google Sheets templates (the "Templates") that you purchase from our website.
- Permitted Use: This license allows you to use the Templates for your own personal use or for use within your own small business. For the purposes of these Terms, "small business" means a business operated by a sole trader or individual.
* Specific Prohibitions: You are expressly prohibited from doing any of the following:
* Commercial Use Beyond Sole Trader: Using the Templates within a larger company, corporation, partnership, or any business entity with more than one owner or employee (other than yourself, if you are a sole trader).
* Sharing Within a Company: Sharing the Templates with any other employee, contractor, or individual within a company or organisation, even if that company or organization is a small business. The Templates are licensed to individual business owners only.
* Resale and Distribution: Reselling, sublicensing, distributing, or otherwise making the Templates available to any third party, whether for free or for payment.
* Public Sharing: Uploading the Templates to any website, file-sharing service, or other online platform for public or private access.
* Creating Derivative Works for Commercial Use: Creating derivative works based on the Templates (i.e., modifying the Templates and then selling or distributing the modified version) for commercial purposes. You are permitted to modify the templates for your own personal use only.
* Removing Copyright Notices: Removing any copyright notices or watermarks from the Templates.
* No Licenses Offered: We do not offer enterprise or multi-user licenses at this time. If you require a license for more than one user, please contact us to discuss potential custom licensing options. We reserve the right to deny such options.
2. Intellectual Property Ownership
All intellectual property rights in the Templates, including but not limited to copyrights, trademarks, design rights, and trade secrets (collectively, "Intellectual Property"), are and shall remain the sole and exclusive property of Savvy Sheets Boutique or its licensors. You acknowledge that you are granted a limited license to use the Templates in accordance with these Terms, but you do not acquire any ownership rights in the Intellectual Property. You agree not to infringe upon any of our Intellectual Property rights or assist others in doing so.
3. Disclaimer of Warranties
THE TEMPLATES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE TEMPLATES WILL BE ERROR-FREE, THAT THEY WILL MEET YOUR SPECIFIC REQUIREMENTS, OR THAT THEY WILL BE COMPATIBLE WITH ALL SOFTWARE OR HARDWARE. YOUR USE OF THE TEMPLATES IS AT YOUR SOLE RISK.
* Australian Consumer Law: This disclaimer does not exclude or limit any consumer guarantees that may apply to you under the Australian Consumer Law if you are an Australian customer.
4. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAVVY SHEETS BOUTIQUE OR ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE TEMPLATES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE TEMPLATES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE TEMPLATE.
5. Termination
We may terminate your license to use the Templates immediately, without notice, if you breach any of these Terms. Upon termination, you must immediately cease all use of the Templates and destroy all copies in your possession or control.
6. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New South Wales, Australia.
7. Entire Agreement
These Terms constitute the entire agreement between you and Savvy Sheets Boutique with respect to the Templates and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.
8. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck from these Terms, and the remaining provisions shall remain in full force and effect.
9. Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties.
10. Notices
All notices and other communications under these Terms shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the Australian Post, postage prepaid, certified or registered, return receipt requested, addressed as follows:

11. Headings
The headings in these Terms are for convenience only and shall not affect their interpretation.
12. Revisions to These Terms
We reserve the right to modify or update these Terms at any time, with or without notice to you. Your continued use of our website or purchase of our Templates after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes.
13. DMCA Copyright Infringement Notice (For US Customers)
If you are a copyright owner or an agent thereof and believe that any content on our website infringes upon your copyrights, you may submit a notification to us pursuant to the Digital Millennium Copyright Act ("DMCA") by providing us with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
* A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
* Identification of the copyrighted work claimed to have been infringed;
* Identification of the material that is claimed to be infringing and to be removed, and information reasonably sufficient to permit us to locate the material;
* Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address;
* A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
